Announcement PDF Western Mines Group Ltd ACN 640 738 834 Level 3, 33 Ord Street West Perth WA 6005 17 December 2024 ASX Announcement (ASX: WMG) ISSUE OF SHARES, UNLISTED OPTIONS & PERFORMANCE RIGHTS Earlier today Western Mines Group Ltd (“WMG” or “Company”) announced that it had entered into a binding Royalty Extinguishment Deed to buyback and extinguish the 1% NSR royalty over tenement E39/2132 held by the original tenement vendor (an unrelated party to the Company). The consideration to extinguish the royalty is 800,000 fully paid ordinary shares in the Company (of which 50% escrowed for 12 months), 800,000 options over ordinary shares (with an exercise price of $0.30 per share, expiring 16 December 2028) and 400,000 performance rights (convertible into fully paid ordinary shares if the Company’s share price 20 day VWAP exceeds $0.60 per share, expiring 16 December 2027). The Company is now pleased to advise that it has completed the issue of these securities. Notice under Section 708A The Company issued the shares to a sophisticated investor and they are part of a class of securities quoted on the Australian Securities Exchange Limited (ASX). The Company gives this notice pursuant to Section 708A(5)(e) of the Corporations Act. The shares were issued without disclosure to the investors under Part 6D.2, in reliance on Section 708A(5) of the Corporations Act. The Company, as at the date of this notice, has complied with: a) the provisions of Chapter 2M of the Corporations Act as they may apply to the Company, and b) Section 674 and 674A of the Corporations Act. There is no excluded information as at the date of this notice, for the purposes of Sections 708A(7) and (8) of the Corporations Act.
